The Clinic (“Clinic”)
The name, address, ownership details, and other identifiers of the Clinic shall be as provided in the signature section of this Agreement. All references to “Clinic” in this Agreement shall refer to the entity whose details are furnished in the signature block below.
Objective
To establish collaboration to deliver therapies, consultations, and wellness programs for UWAY Health-referred patients through licensed clinics.
Responsibilities
UWAY will:
- Acquire and refer patients to the Clinic as part of the UWAY network.
- Provide therapy protocols, SOPs, and onboarding support to ensure standardised care delivery.
- Coordinate scheduling and communication through the UWAY application.
- Handle all technology, marketing, and customer satisfaction requirements, including feedback collection and follow-up.
- Courier and deliver medicines to patients based on the doctor’s prescription, wherever applicable.
- Collect fees directly from patients for consultations, medicines, and UWAY-managed services where required.
- Share revenue with the Clinic as per the agreed revenue-sharing model.
Clinic will:
- Deliver therapies strictly as per UWAY’s prescribed protocols and doctors’ prescriptions.
- Maintain hygiene, safety, and quality standards as defined by UWAY.
- Ensure availability of trained therapists (both male and female) to deliver treatments.
- Stock required medicines and consumables for UWAY-recommended therapies.
- Use the UWAY application for coordination, therapy updates, patient status, and reporting.
- Display UWAY branding and identification at visible points in the clinic for patient recognition.
- Collect fees directly from patients, where applicable, for therapies delivered at the clinic.
- Provide accurate daily and monthly reports of all UWAY-referred patients and payments collected.

B. Doctor Revenue

Clarification
Doctor earnings for consultations, prescriptions (medicine commissions), and mentorship are independent of any clinic revenue share. If the clinic owner is also a doctor, they shall receive their doctor earnings directly in addition to the clinic’s share. All payments made shall be post tax and other deductions as per government regulations if any.
Compliance
- The Clinic confirms it holds valid licenses to operate under applicable government laws and will share copies on onboarding and renewal.
- The Clinic will be solely responsible for the services delivered to patients at its premises. UWAY’s role is limited to referrals, protocols, and technology support.
- Patient data will be protected as per Indian law; both parties will maintain confidentiality.
- Term: 12 months from signing, automatically renewed yearly unless either party opts out with 30 days’ notice.
- Termination: 30 days’ notice, or immediate termination if licenses lapse, legal breaches occur, or patient safety is at risk.
