(“UWAY”)
AND
The Doctor
(“Doctor”)
Purpose
To enable the Doctor to participate in the UWAY network and to use the UWAY platform as a digital system for managing consultations, prescriptions and medical records for patients.
The UWAY platform is designed to support the Doctor’s clinical practice by providing tools for maintaining patient records, generating prescriptions, coordinating therapies and managing follow-ups.
Doctor Participation & Platform Usage
- The Doctor may provide consultations to patients referred through the UWAY network.
- The Doctor may also use the UWAY platform to manage consultations, prescriptions and medical records for their own existing patients.
- The UWAY platform may be used by the Doctor as a digital EMR system for maintaining patient records, consultation notes, prescriptions and follow-up details.
- The Doctor may generate digital prescriptions and consultation notes through the UWAY platform where applicable.
- Wherever therapies are prescribed through the UWAY network, the Doctor may supervise and review therapy progress digitally through the UWAY platform.
- The Doctor may collaborate with other doctors and clinics within the UWAY network for coordinated patient care.
- Doctors may optionally use UWAY systems for facilitating online consultation payments where applicable.
Patient Ownership
- Patients who consult the Doctor directly remain the patients of the Doctor.
- The Doctor retains full professional control over their clinical relationship and follow-up care.
- UWAY does not claim ownership over the Doctor’s existing patient relationships and provides technology infrastructure only to support clinical practice.
Roles & Responsibilities
- The Doctor will provide consultations and medical advice in accordance with professional medical standards.
- All diagnosis and treatment decisions remain solely the responsibility of the Doctor.
- The Doctor may use the UWAY platform for consultations, prescriptions, patient records and coordination where applicable.
- The Doctor agrees to follow applicable medical ethics and professional guidelines.
- The Doctor confirms that they hold valid medical registration to practice.
Revenue Sharing & Compliance

Clarification
- The Doctor remains an independent medical professional and may continue to consult patients through their own clinic or practice.
- UWAY provides technology infrastructure, digital systems and coordination support for consultations and patient care within the network.
- Doctor earnings for consultations, prescriptions and referrals are independent of clinic revenue sharing arrangements if applicable.
- All payments are subject to applicable taxes and statutory deductions where required.
Compliance
- The Doctor is solely responsible for clinical decisions and treatment outcomes.
- The Doctor confirms holding valid medical registration.
- Patient data recorded on the platform will be used only for clinical and operational purposes in accordance with applicable Indian laws.
Agreement Term
- Agreement Term: 12 months from signing.
- Renewal: Automatically renewed unless terminated by either party.
- Termination: Either party may terminate the agreement with 30 days written notice.
- Jurisdiction: Bengaluru, India.
